Terms of Service

These terms govern your use of Lapham.co and the professional services we provide. If you sign a separate agreement with us, that agreement controls where it conflicts with these terms.

1. Services

We provide consulting, strategy, and custom software services. Deliverables, timelines, and pricing are defined in a proposal or statement of work.

2. Client responsibilities

  • Provide accurate information and timely feedback.
  • Assign internal owners for decisions and approvals.
  • Ensure access to systems, data, and subject matter experts as needed.

3. Fees and payment

Fees, milestones, and payment schedules are defined in the applicable proposal or statement of work. Late payments may pause delivery until current.

4. Intellectual property

Each party retains ownership of its pre-existing materials and know-how. Unless otherwise stated in a signed agreement, you receive a license to use deliverables created for you once all fees are paid in full.

5. Confidentiality

We will treat your non-public information as confidential and expect the same in return, subject to customary exceptions such as information that is public or independently developed.

6. Third-party services

Some deliverables may rely on third-party platforms or tools. Their terms and privacy policies apply to your use of those services.

7. Disclaimers

Services are provided on an "as is" and "as available" basis. We do not guarantee specific outcomes or uninterrupted availability.

8. Limitation of liability

To the maximum extent permitted by law, Lapham Co will not be liable for indirect, incidental, special, or consequential damages. Our total liability will not exceed the fees paid for the services giving rise to the claim.

9. Termination

Either party may terminate a project according to the written agreement. You are responsible for fees due for work performed up to the termination date.

10. Governing law

These terms are governed by the laws of the state where Lapham Co is organized, without regard to conflict of law principles.
